This Public Offer Agreement (hereinafter — the "Agreement" or "Offer") is an official public offer made by the individual entrepreneur Shirinova Ilona Habilivna, acting on the basis of the extract from the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organisations dated 31.03.2026, registration record No. 2010350000000998928, taxpayer identification number (RNOKPP) 3751102400 (hereinafter — the "Seller"), to enter into a distance sale agreement for goods with any individual or legal entity that accepts the terms of this Offer (hereinafter — the "Buyer").

This Agreement constitutes a public offer in accordance with Articles 633, 641, and 642 of the Civil Code of Ukraine, Article 13 of the Law of Ukraine "On Consumer Protection," and other applicable regulations of Ukraine.


1. DEFINITIONS

1.1. Offer — a public proposal by the Seller, addressed to an indefinite number of persons, to enter into a distance sale agreement for goods.

1.2. Website — the Seller's official online store at genetica.co.ua, through which goods are sold.

1.3. Goods — the items available for purchase on the Website, corresponding to the descriptions and specifications listed on the relevant product pages.

1.4. Order — an electronic request placed by the Buyer through the Website or other communication channels for the purpose of purchasing Goods.

1.5. Acceptance — the Buyer's full and unconditional acceptance of the terms of this Agreement by performing the actions specified herein.

1.6. Seller — Individual Entrepreneur Shirinova Ilona Habilivna, address: Ukraine, 61135, Kharkiv region, city of Kharkiv, Traktorobудivnykiv Avenue, building 95A, apartment 35.

1.7. Buyer — any individual or legal entity, visitor to the Website, who places an Order on the Website for the purpose of purchasing Goods and thereby confirms acceptance of all terms of this Offer.

1.8. Personal Data — any information that allows the Buyer to be identified as an individual, processed by the Seller in accordance with the Law of Ukraine "On Personal Data Protection."


2. GENERAL PROVISIONS

2.1. This Agreement governs the distance sale of Goods through the Seller's online store at genetica.co.ua (the "Website"), sets out the rights and obligations of the parties, and covers all legal relations connected with the conclusion, performance, and termination of this Agreement.

2.2. Use of the Website — including browsing, registration, placing an Order, or making a payment — constitutes the Buyer's acceptance of this Offer and the Seller's Privacy Policy, which forms an integral part of this Agreement.

2.3. This Offer takes effect from the moment of its publication on the Seller's Website and remains valid until withdrawn by the Seller or replaced by a new version.

2.4. If the Buyer does not agree with the terms of this Agreement, they must immediately discontinue use of the Website.

2.5. The current version of the Agreement is always available on the Website. The Seller reserves the right to amend this Agreement without prior notice to the Buyer, provided that the updated version is published on the Website.

2.6. This Agreement is concluded in the Ukrainian language in accordance with the laws of Ukraine.


3. SUBJECT MATTER OF THE AGREEMENT

3.1. The subject matter of this Agreement is the Seller's provision to the Buyer of the opportunity to purchase Goods listed in the online store by entering into a distance sale agreement.

3.2. The Buyer's placement of an Order on the Website constitutes the Buyer's offer to enter into a sale agreement on the terms of this Public Offer.

3.3. A sale agreement is considered concluded only after the Seller confirms the Order by any available means (phone call, email, SMS, messenger message, or other communication method) and, where required by the terms of sale, after receipt of prepayment.

3.4. Until the Order is confirmed by the Seller, the Seller is not obligated to deliver the Goods, and the Buyer has no right to demand their transfer.

3.5. The Seller reserves the right to refuse to fulfil an Order in full or in part in the event of:

  • the item being out of stock;
  • discontinuation of the item;
  • a technical error on the Website;
  • an incorrect price being listed;
  • the Buyer providing inaccurate contact or payment details;
  • inability to arrange delivery;
  • repeated unjustified refusal by the Buyer to collect previously placed Orders;
  • reasonable grounds to suspect fraudulent activity;
  • any other circumstances that objectively prevent fulfilment of the Order.

Where the Seller refuses to fulfil an Order, any payments made by the Buyer shall be refunded in accordance with the laws of Ukraine and the terms of this Offer.

3.6. The Buyer is solely responsible for reading the terms of this Agreement. The Seller is not required to notify the Buyer of the existence of the Agreement by any means other than publishing it on the Website.


4. ORDER PLACEMENT

4.1. Orders are placed by the Buyer independently through the Website by adding the selected item to the cart and completing the electronic order form.

4.2. To place an Order, the Buyer must provide accurate information, including:

  • full name;
  • contact phone number;
  • email address;
  • payment method;
  • delivery address.

4.3. The Buyer confirms the accuracy of the information provided when placing an Order. The Seller is not liable for any consequences arising from the provision of inaccurate information.

4.4. If any ordered item is unavailable, the Seller has the right to remove that item from the Order or cancel the Order entirely, notifying the Buyer by email or phone.

4.5. By concluding this Agreement — that is, by accepting this Offer through placing an Order — the Buyer confirms the following:

a) the Buyer has fully read and agrees to the terms of this Offer;

b) the Buyer grants permission for the collection, processing, and transfer of their personal data. This permission remains in effect for the duration of the Agreement and for an indefinite period after its expiry. By entering into this Agreement, the Buyer also confirms that they have been informed (without any additional notification) of their rights under the Law of Ukraine "On Personal Data Protection," of the purposes for which their data is collected, and that their personal data is transferred to the Seller for the purpose of fulfilling the terms of this Agreement, processing payments, and issuing invoices, statements, and other documents. The Buyer also agrees that the Seller may grant access to and transfer their personal data to third parties without additional notification to the Buyer, solely for the purpose of fulfilling the Buyer's Order. The Buyer is aware of and understands the full scope of their rights as a personal data subject under the Law of Ukraine "On Personal Data Protection."


5. PRICE AND PAYMENT

5.1. The price of each item is listed on the relevant page of the Website and is final. Prices are stated in the national currency of Ukraine — Ukrainian hryvnia (UAH).

5.2. The Seller may change prices before an Order is confirmed. Once an Order has been confirmed, the price is fixed and will not change, except where expressly agreed by the parties.

5.3. Payment is made by the Buyer in accordance with the terms and methods listed on the online store's payment page.

5.4. An Order is considered paid once funds have been credited to the Seller's account or a successful payment confirmation has been received from the relevant payment service.

5.5. The Seller may offer promotional deals, discounts, promo codes, and other loyalty benefits. The terms of such offers are set by the Seller and published on the Website. The Seller reserves the right to modify or discontinue such offers in relation to future Orders.

5.6. Where an Order is paid for on cash-on-delivery terms, the Buyer additionally pays the Nova Poshta cash transfer fee in accordance with the carrier's current rates.

5.7. By placing an Order, the Buyer agrees to receive updates on the Order status via phone, SMS, email, messenger, or other communication methods specified by the Buyer at the time of placing the Order.


6. DELIVERY AND TRANSFER OF GOODS

6.1. Available delivery methods and associated costs, depending on the chosen payment method, are set out in the relevant section of the online store.

6.2. Delivery costs are paid by the Buyer in accordance with Nova Poshta's current rates, calculated based on the weight, dimensions, destination, and chosen delivery method. Current rates are available on the carrier's official website.

6.3. The Seller undertakes to dispatch the Goods within 1–3 business days of Order confirmation, subject to stock availability. If dispatch cannot be completed within this timeframe, the Seller will promptly notify the Buyer and provide revised timelines.

6.4. Product images on the Website may differ slightly from the actual appearance of the item due to colour rendering on different screens, lighting conditions during photography, and other technical factors. Such differences do not in themselves constitute a defect.

6.5. Upon receipt, the Buyer must inspect the Goods in the presence of the carrier's representative and verify that they match the ordered specifications (item name, quantity, size, colour, completeness).

Upon accepting the Goods, the Buyer confirms the absence of any claims regarding visible damage to the packaging, quantity, completeness, assortment, or other apparent defects. Discovery of hidden defects after receipt does not deprive the Buyer of the right to make claims in accordance with applicable Ukrainian law.

6.6. Ownership of the Goods transfers from the Seller to the Buyer at the moment of handover. Transfer of ownership is confirmed by the Buyer's signature on the waybill, receipt, or delivery register issued by the Seller, carrier, or courier service.

Once the Goods have been handed over to the carrier, the Seller is not liable for delivery delays caused by the carrier. In the event of damage or loss of the shipment, liability is determined in accordance with the carrier's terms and applicable Ukrainian law.

6.7. The Seller reserves the right to delay delivery or cancel an Order in the event of force majeure, technical issues, or failure by the Buyer to fulfil their obligations (for example, failure to make payment).

6.8. If the Buyer unjustifiably refuses to collect an Order after dispatch, the Seller may withhold from any prepayment the documented costs actually incurred in connection with processing, packaging, delivery, and return of the Goods, unless otherwise provided by Ukrainian law.


7. RETURNS AND REFUNDS

7.1. Returns are handled in accordance with the Law of Ukraine "On Consumer Protection" and the terms of this Agreement.

7.2. The Buyer has the right to return a non-food item of satisfactory quality if it does not suit them in terms of shape, dimensions, style, colour, size, or cannot otherwise be used for its intended purpose.

The Buyer may return an item of satisfactory quality within 14 calendar days of receipt, provided that:

  • the item has not been used and retains its original appearance;
  • the original packaging, labels, tags, and seals are intact;
  • the item is not included in the List of Non-Food Items of Satisfactory Quality Not Subject to Return, approved by Resolution of the Cabinet of Ministers of Ukraine No. 172 dated 19.03.1994.

7.3. Refunds are processed in accordance with the procedure and timeframes set out in the Law of Ukraine "On Consumer Protection," following the Seller's receipt of the returned item and confirmation that the return conditions have been met.

7.4. Refunds are issued by bank transfer to the Buyer's account.

7.5. To receive a refund, the Buyer must provide the Seller with their bank account details (IBAN) registered in the Buyer's name, or other required payment details. The Seller is not liable for delays in processing refunds caused by the Buyer providing incomplete or inaccurate details.

7.6. If an item is returned or exchanged due to a manufacturing defect or Seller error, shipping costs are covered by the Seller.

If a satisfactory-quality item is returned at the Buyer's initiative, shipping costs are borne by the Buyer, unless otherwise agreed by the parties.

7.7. If defects are found in the Goods, the Buyer has the right to submit a claim to the Seller in the manner and within the timeframes established by Ukrainian law. Where free repair is requested, the repair period begins from the date the Seller receives the item and has physical access to it.

7.8. Claims under the Law of Ukraine "On Consumer Protection" are considered by the Seller provided the Buyer submits the documents required under applicable Ukrainian law. The Seller is not liable for defects that arise after the Goods have been handed over to the Buyer as a result of the Buyer's misuse, failure to follow storage instructions, third-party actions, or force majeure.

7.9. Upon receiving notice of a possible manufacturing defect, the Seller has the right to inspect the item to determine the cause of the reported defect. Where necessary, the Seller may contact the manufacturer or arrange an independent expert assessment in accordance with applicable Ukrainian law.

7.10. Returns, in cases provided for by law and this Agreement, are sent to the address listed on the Website under "Contacts."


8. LIABILITY

8.1. Seller's Liability:

8.1.1. The Seller is liable for improper performance of its obligations under this Agreement in accordance with applicable Ukrainian law.

8.1.2. The Seller is not liable for:

  • delays or non-fulfilment of an Order caused by the Buyer providing inaccurate information;
  • delivery delays caused by the carrier or force majeure;
  • the Buyer's use of the Goods for purposes other than their intended use.

8.2. Buyer's Liability:

8.2.1. The Buyer is responsible for the accuracy of the information provided when placing an Order.

8.2.2. If the Buyer refuses to collect an Order without valid grounds, the Seller has the right to recover from the Buyer's payment the actual costs incurred in connection with delivery.

8.3. Limitation of Liability:

8.3.1. Neither party is liable for full or partial non-performance of its obligations where such non-performance results from force majeure circumstances, including: military actions, terrorist acts, emergencies, fires, floods, earthquakes, decisions of public authorities, power outages, internet or payment system disruptions, cyberattacks, or other circumstances that the parties could not have foreseen or prevented.


9. CONFIDENTIALITY AND PERSONAL DATA PROTECTION

9.1. By providing personal data on the Website during registration or Order placement, the Buyer gives the Seller their voluntary consent to the processing, use (including transfer), and other handling of their personal data as provided for by the Law of Ukraine "On Personal Data Protection," for the period necessary to achieve the purposes of processing or for the period established by applicable Ukrainian law.

9.2. The Seller undertakes not to disclose information received from the Buyer. Disclosure of information to contractors and third parties acting under an agreement with the Seller — including for the purpose of fulfilling obligations to the Buyer — or as required by applicable Ukrainian law, does not constitute a breach of this obligation.

9.3. The Buyer is responsible for keeping their personal data up to date. The Seller is not liable for poor or non-performance of its obligations resulting from outdated or inaccurate information provided by the Buyer.


10. DISPUTE RESOLUTION

10.1. All disputes and disagreements arising between the parties in connection with the performance of this Agreement shall be resolved through negotiation.

10.2. If disputes cannot be resolved through negotiation, they shall be submitted to the courts of Ukraine in accordance with applicable Ukrainian law.

10.3. The Buyer has the right to submit a claim to the Seller within 14 calendar days of the dispute arising. The Seller must consider the claim within 10 business days of receipt.

10.4. The Seller reserves the right to conduct an internal review of the claim to assess its validity. Where a claim is rejected, the Seller shall provide the Buyer with a reasoned written response.

10.5. The Buyer also has the right to contact state consumer protection authorities to resolve disputes.
